Terms and Conditions

Effective date: January 22, 2025

1. Agreement terms

No contract or agreement is established, and you have no rights to the Service, unless and until Syncize Ltd agrees to provide you with the Service. Syncize Ltd reserves the right to amend or modify the Agreement at any time, without prior notice. Any changes will take effect immediately upon posting the revised terms on the Site or when Syncize Ltd otherwise notifies you of such changes.

By continuing to use the Site and/or the Service after the posting of these changes or receiving notification of them, you accept the Agreement as amended or modified. If you do not agree to the updated Agreement, you must stop using the Site and the Service. We may deny any application to use the Services for any reason.

2. Platform

The Site and the Service, including all features, functionalities, instant streaming, our website and user interfaces, along with all associated content and software (referred to as the "Service" or "Services"), are provided under the terms and conditions outlined in this document, known as the Terms of Use ("Terms"), along with other referenced agreements and documents, including any future updates to these terms (collectively referred to as the "Agreement").

By accessing and using the Site and/or the Service, whether as a Member User, recipient of an email from a registered user, or any other user ("you" or "your"), you agree to be bound by the Agreement. You acknowledge that the Agreement forms a binding contract between you and Syncize Ltd, a company registered at Petraki Giallourou 12, 1077 Nicosia, Cyprus CYP ("Syncize Ltd" or "we"), the entity that owns and operates the Site. If you do not agree to these Terms, you must cease using the Site and the Service immediately.

3. Payments section

The relevant fees will be provided to you through the Services and the Sites. This is a monthly subscription to the Service. The applicable fees for the recurring monthly subscription are displayed in your member area and in the welcome email.

Your monthly subscription starts the moment you subscribe to the service for a fee of €39.99. If you do not unsubscribe, the Service will automatically renew on a monthly (30 days) basis and you as the user give permission for a monthly charge / fee of €39.99 via your credit card to occur.

In the event of an unsuccessful recurring payment, Syncize Ltd reserves the right to apply a discounted membership rate, allowing you continued access to the Service. If this discounted rate cannot be processed successfully, an administrative fee of up to €3.00 administrative fee may be applied to maintain your subscription until the full or discounted subscription fee is successfully processed.

By the acceptance of hereby Terms of Use, you declare, that all the payments shall be made with the funds from a legitimate source.

Internet Access Charges
You are responsible for any costs you incur to access the internet.

4. Refunds

We will process any refund owed to you (minus any applicable deductions) no later than 14 days from the date you inform us of your decision to cancel the service. The refund will be issued using the same payment method you used when placing your order, unless you have agreed to a different method. You have up to 30 days from the date of sign-up to request a refund. These cancellation rights do not affect your legal rights.

Once the refund has been processed, it will take 3-5 business days to reach your card.

5. Support services

Support Services are available Daily 9:00am to 9:00pm, GMT GMT. Syncize Ltd may determine the timing and delivery method of Support Services at its discretion, which may include communication via email. You can call the support time during the hours of Daily 9:00am to 9:00pm, GMT.

To access Support Services, you may need to purchase additional or different equipment or services from third parties. Syncize Ltd is not obligated to provide any other assistance, support, maintenance, or services, nor to offer assistance through other methods, such as on-site support.

If Syncize Ltd, at its sole discretion, agrees to provide any additional services, these services will be subject to the Terms and Conditions outlined here.

6. License & Content

License
Syncize Ltd will grant you a non-exclusive, limited license to use the Syncize Ltd Services, including accessing and viewing the Content on a download-only basis through the site, for personal, non-commercial purposes. We reserve the right, at our sole discretion, to make changes to how we operate our service, with or without notice. Any description of how our service functions should not be viewed as a guarantee or commitment regarding its future operation. We continuously make adjustments to our service, and these changes may not always be reflected in these Terms of Use.

The Content
You are permitted to access and view the Content solely for personal, non-commercial purposes, and only in compliance with these Terms. You are prohibited from, directly or indirectly, using any device, software, website, web service, or other means to remove, modify, bypass, evade, interfere with, or circumvent any copyright, trademark, or proprietary notices associated with the Content. This includes digital rights management systems, content protection measures, access controls, and geo-restriction mechanisms.

Unless explicitly authorised in writing by Syncize Ltd, you may not copy, download, stream capture, reproduce, duplicate, archive, distribute or upload any materials. This prohibition applies even if you intend to give away the derivative materials free of charge.

Availability
The availability of the Content will change from time to time, and from country to country.

Geographic Limitation
You may stream the Content through the service only in regions where our service is available and the specific movie or TV show is licensed. Syncize Ltd employs technologies to confirm your geographic location.

7. User responsibilities

You agree to use the Services for lawful, non-commercial, and appropriate purposes only. You will not:

Violate the rights of others, including privacy, or other proprietary rights
Use technology or other means to access to the Services/Content that is not authorised by Syncize Ltd. This includes unauthorised methods to copy, interfere and distribute
Use tools such as bots or scripts to access or modify the Services
Installs or distributes viruses, malware, or other computer code, files, or programs designed to disrupt, damage, or restrict the functionality of any software, hardware, or telecommunications equipment
Utilises the Services to advertise or promote products or services without prior written approval from Syncize Ltd
Collects personal information in violation of Syncize Ltd Privacy Policy
Violates these Terms or any guidelines or policies posted by Syncize Ltd

Accordingly, you undertake that:

You agree to stream and view Content solely for personal and private use, excluding any direct or indirect commercial purposes and you will not, nor will you encourage or assist others to, copy, reproduce, lend, rent, broadcast, distribute, or transmit any Content.

8. Suspension/Discontinuation

Syncize Ltd reserves the right to change, suspend, or discontinue - temporarily or permanently - some or all of the Services (including the Content and the devices through which the Services are accessed), for any or all users, at any time, without notice.

However, if Syncize Ltd terminates your account or suspends or discontinues your access to the Services due to your violation of these Terms, you will not be entitled to any credit, refund, discount, or other compensation.

9. Cancellation of Services

Term
Users may cancel their subscription at any time starting from the date of registration. If cancellation occurs after regular billing has commenced, the subscription will be terminated immediately, but the account will remain active until the end of the already paid billing period.

Service Termination
Syncize Ltd reserves the right to modify, suspend, discontinue, or terminate the Service or Agreement, either temporarily or permanently, in whole or in part, at any time and for any reason, or no reason, with or without prior notice and without incurring any liability.

Upon termination, you will have no right to access your account or any files or other content contained in your account, although residual copies may be retained in Syncize Ltd system. Syncize Ltd may retain any such files or other content at its discretion.

Breach
In addition to or as an alternative to terminating, canceling, or discontinuing the Site and/or Service, Syncize Ltd may take any action it deems necessary or appropriate, at its sole discretion, in the event of your breach of the Agreement. Such actions may include, but are not limited to, suspending your access to the Site and/or Service, blocking your IP address, or employing any other technical or legal measures available to Syncize Ltd.

10. Copyright

All Content are owned by Syncize Ltd (or our affiliates and/or third-party licensors (as applicable)), unless indicated otherwise. The materials may not be used except as provided for in these Terms, and any other relevant terms and conditions provided to you without our prior written permission.

You acknowledge and agree that certain Content provided to you is the property of third-party licensors and without prejudice to any and all other rights and remedies available, each such licensor has the right to directly enforce relevant provisions within these Terms against you.

11. Unforeseeable Events

Syncize Ltd will not be held responsible for any delays or failures in fulfilling its obligations due to events beyond its control. These events (known as Force Majeure Events) may include, but are not limited to, denial-of-service attacks, strikes, shortages, riots, fires, floods, storms, war, terrorism, government actions, labor issues, earthquakes, internet disruptions, or problems at Syncize Ltd's data centers.

In the event of such circumstances, Syncize Ltd will be excused from its obligations for as long as the event lasts, and for a reasonable time afterward to recover from its effects.

12. Warranty disclaimer

You understand and agree that using the site and/or service is at your own risk. Syncize Ltd and its suppliers provide the service "as is" without any warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Syncize Ltd does not guarantee that the site or service will meet your needs, be uninterrupted, timely, secure, accurate, error-free, or free of harmful components. Any material obtained through the service is at your own risk, and Syncize Ltd is not responsible for any damage to your computer or data loss caused by using the service.

13. Governing Law and Jurisdiction

These Website Terms shall be governed by and construed in accordance with Cyprus law. You can bring legal proceedings in respect of Website Terms in the Cypriot courts.

As a consumer, you will benefit from any mandatory provisions of the law. Nothing in these Website Terms, including the paragraph above, affects your rights as a consumer to rely on such mandatory provisions of local law.
